These Terms of Service ("Terms") govern your access to and use of the websites, risk assessment services, and other online products and services (collectively, the "Services") provided by 
CertiVend, LLC ("CertiVend," "we," or "us"). By using our Services or otherwise agreeing to these Terms in a proposal or other ordering document, you agree to these Terms, including the mandatory arbitration provision and class action waiver in Section 12. If you do not agree to these Terms, please do not use our Services.

CertiVend may provide access to reports, assessments, and tools, such as the CertiVend Risk Assessment, as part of the Services. By using our Services, you are granted a non-exclusive, non-transferable, and revocable license to access and use such materials for your internal business purposes, subject to these Terms.
If you select a paid service, you will be required to provide payment information and authorize CertiVend to charge your selected payment method for the applicable fees. All prices exclude taxes and other charges. You are responsible for any taxes that may apply.

You agree to indemnify and hold CertiVend and its affiliates, officers, directors, agents, and employees harmless from any claims, damages, or expenses arising from your use of the Services or violation of these Terms.
Our Services are provided "as is" and "as available," without warranties of any kind. We do not guarantee that the Services will be error-free or uninterrupted. You assume all risks associated with using the Services.
To the fullest extent permitted by law, CertiVend’s liability for any claim arising from your use of the Services is limited to the amount you paid for the Services in the past 12 months. We are not liable for any indirect, incidental, or consequential damages.
Any dispute related to these Terms will be resolved through binding arbitration, except for small claims court cases. Arbitration will be conducted in Pennsylvania, following JAMS arbitration rules. By using our Services, you waive your right to a jury trial and agree to individual arbitration.
These Terms are governed by the laws of New Jersey, without regard to conflict of law principles. Any disputes that are not subject to arbitration will be resolved in courts located in New Jersey.
By submitting any feedback to CertiVend, you grant us the right to use your feedback without any obligation to you.
CertiVend reserves the right to modify or discontinue any part of the Services at any time. You may stop using our Services at any time.
Certain Services may have additional terms and conditions, which will be provided to you when you sign up for those Services. In case of conflict between the general Terms and additional terms, the additional terms will govern.
CertiVend reserves the right to modify these Terms. If we make any significant changes, we will notify you via email or a notice on our website. Continued use of the Services after any changes will be deemed acceptance of those changes.
If any part of these Terms is found to be unenforceable, the remaining provisions will remain valid. These Terms reflect the entire agreement between you and CertiVend.
